1. Overview

These Terms & Conditions (“Terms”) govern your use of the Sweet Pea pre-booking website operated at openai-sweetpea.shop (“Website”, “we”, “us”). By accessing the Website or placing a pre-booking order, you agree to be bound by these Terms.

2. Product & Service Description

Sweet Pea is an AI-powered earpiece designed by Jony Ive for OpenAI. The Website offers a pre-booking service that reserves your place on a priority waitlist for early access when the product launches.

Pre-booking does not constitute a purchase or binding agreement to buy the final product. Product specifications, features, timelines, and final retail pricing are subject to change.

3. Pricing & Payment

The pre-booking fee is as follows:

All prices are displayed and charged in US Dollars ($ USD). Payment is processed securely via Cashfree Payments, a PCI DSS Level 1 compliant payment gateway.

Accepted payment methods include UPI, credit/debit cards (Visa, Mastercard), net banking, wallets, and cryptocurrency (Bitcoin, Ethereum, BNB).

4. Refund & Cancellation Policy

• You may cancel your pre-booking and request a full refund at any time before the product ships.
• Refund requests can be made by emailing booking@openai-sweetpea.shop.
• Refunds will be processed within 5–7 business days to your original payment method.
• For UPI and card payments, refunds are processed via Cashfree Payments to the source account.
• For cryptocurrency payments, refunds will be issued in the original cryptocurrency to the wallet address you provide.
• If the product launch is cancelled, all pre-booking fees will be automatically refunded in full.

5. Pre-Booking Terms

• Pre-booking reserves your place on the priority waitlist.
• Your waitlist position is determined by the order of confirmed payment.
• Pre-booking does not guarantee product availability or a specific delivery date.
• Sweet Pea reserves the right to modify or discontinue the product at any time, in which case a full refund will be issued.
• Each individual may hold only one pre-booking position per email address.

6. Referral Program

Upon confirmed payment, you receive a unique referral code and link. The referral program provides priority access incentives based on valid referrals.

• Referral rewards are subject to availability and may change.
• Gaming the system (creating fake accounts, spam referrals, etc.) may result in removal from the waitlist without refund.
• Priority access through referrals is not guaranteed and is subject to inventory.

7. Communications

By completing a pre-booking, you consent to receive:

• Transactional emails: Payment confirmation, referral code, waitlist updates (required).
• Marketing emails: Product news, launch updates (only if you opted in; unsubscribe anytime).

8. User Obligations

• You must provide accurate and truthful information during pre-booking.
• You must be at least 18 years of age or have parental consent.
• You may not use the Website for any unlawful purpose.
• You are responsible for maintaining the confidentiality of your referral code.

9. Intellectual Property

All content on this Website — including text, design, logos, and graphics — is the property of OpenAI or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, Sweet Pea and OpenAI shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Website or pre-booking service, including but not limited to:

• Product specification changes, delays, or cancellation.
• Loss of waitlist position due to referral program violations.
• Technical issues with third-party payment processors.

Our total liability shall not exceed the amount of the pre-booking fee paid by you ($49).

11. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

12. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last updated” date. Continued use of the Website constitutes acceptance of the revised Terms.
